
Restructuring governance to prepare a growing nonprofit for its next chapter
A national nonprofit that had grown from a $2M to a $15M organization in just five years was experiencing growing pains. The board of directors — many of whom had served since the organization's founding — was struggling to keep pace with the complexity of a larger institution. Board meetings were consumed by operational details rather than strategic oversight. Committee structures were outdated. Several board members acknowledged they lacked the expertise needed for the organization's current scale. The executive director, meanwhile, was spending more time managing board dynamics than leading the organization.
We conducted a confidential board assessment, interviewing every board member and senior staff leader. This process surfaced not just structural issues but interpersonal dynamics that were impeding effective governance. We presented findings to the board with candor and care, creating a shared understanding of the challenges.
We facilitated a governance redesign process that restructured the board from a 22-member body with six committees to a 15-member board with three focused committees: Strategy & Finance, Programs & Impact, and Development & External Affairs. This streamlined structure reduced redundancy and clarified accountability.
We developed a board competency matrix that mapped the skills and expertise needed for the organization's current and future strategic priorities. This tool guided a thoughtful board transition process — honoring departing members' contributions while recruiting new directors with complementary capabilities.
